1. What This Agreement Covers

These Terms of Service ("Terms") govern your use of Canon ("the Service"), an AI-powered business operations platform operated by NeverRest Technologies ("we," "us," "our"). By using Canon, you agree to these Terms. If you do not agree, do not use the Service.

Canon is accessed through messaging platforms including iMessage, Telegram, and Discord. When we say "use the Service," we mean sending tasks, receiving deliverables, and interacting with Canon through any supported channel.

2. What Canon Does

Canon provides AI-powered task execution for businesses. You send a task via text message. Our system of specialized AI agents processes the request, executes the work, runs quality assurance, and delivers the result back to you.

Examples of work Canon performs: sales follow-ups, website development, content creation, CRM management, marketing campaigns, research, and operational coordination.

Canon is a tool, not an employee. We do not guarantee specific business outcomes, revenue increases, or cost savings. Results depend on how you use the Service and the nature of your requests.

3. Who Can Use Canon

You must be at least 18 years old and legally able to enter contracts. If you are using Canon on behalf of a business, you confirm you have the authority to bind that business to these Terms.

4. Your Account

You are responsible for maintaining the security of your messaging accounts used to access Canon. If you suspect unauthorized access, notify us immediately at support@trykanon.ai.

You are responsible for all tasks submitted through your account. Do not share your Canon access credentials with unauthorized parties.

5. Acceptable Use

You agree not to use Canon to:

Violate any law or regulation
Send spam, phishing, or deceptive content
Generate content that is defamatory, harassing, or threatening
Produce content that infringes on intellectual property rights
Attempt to reverse-engineer, extract, or replicate our AI systems
Submit tasks involving illegal activity, fraud, or harm to others
Overload or interfere with the Service's infrastructure

We reserve the right to suspend or terminate your access for violations without refund.

6. Payments and Billing

Canon operates on a monthly subscription model. Pricing is listed at trykanon.ai/pricing and may change with 30 days' notice.

All payments are processed by Stripe. We do not store your credit card number, bank account details, or other financial payment data.
Subscriptions renew automatically each month unless canceled.
You may cancel at any time. Cancellation takes effect at the end of your current billing period.
Refunds are handled on a case-by-case basis. Contact support@trykanon.ai.

7. Your Data

When you send tasks to Canon, you provide us with business data necessary to execute those tasks (e.g., customer lists, website content, branding materials). This is covered in detail in our Privacy Policy.

You own your data. We do not claim ownership of any content, data, or materials you submit. We process your data solely to execute the tasks you request.

8. Deliverables and Intellectual Property

Work product created by Canon in response to your tasks ("Deliverables") belongs to you upon delivery. This includes websites, copy, designs, documents, and other assets we produce on your behalf.

We retain no ownership interest in your Deliverables. You are free to use, modify, distribute, and commercialize them without restriction.

We retain the right to use anonymized, aggregated performance data (e.g., average task completion times) to improve the Service. This data will never identify you or your business.

9. AI Disclosure

Canon uses artificial intelligence models from third-party providers including OpenAI, Anthropic, and Google to process and execute tasks. AI-generated content may contain errors. You are responsible for reviewing all Deliverables before using them in your business.

We do not guarantee that AI-generated content is free from inaccuracies, biases, or unintended outputs. You should not rely on Canon for legal, medical, financial, or compliance advice without independent professional review.

10. Service Availability

We aim for high availability but do not guarantee uninterrupted service. Canon may experience downtime for maintenance, updates, or circumstances beyond our control.

We are not liable for losses resulting from service interruptions.

11. Limitation of Liability

To the maximum extent permitted by law:

Canon is provided "as is" without warranties of any kind, express or implied.
We are not liable for indirect, incidental, consequential, or punitive damages.
Our total liability for any claim arising from your use of the Service is limited to the amount you paid us in the 3 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless NeverRest Technologies, its officers, agents, and affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account or by contacting support@trykanon.ai.

We may terminate or suspend your access immediately if you violate these Terms. Upon termination, your right to use the Service ends. We will retain your data for 30 days following termination, after which it will be permanently deleted unless you request an export.

14. Dispute Resolution

These Terms are governed by the laws of the State of Texas, USA. Any disputes will be resolved through binding arbitration in Waco, Texas, under the rules of the American Arbitration Association. You waive the right to participate in class action lawsuits.

For disputes under $10,000, we will use simplified arbitration procedures to keep costs reasonable for both parties.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the messaging platform you use to access Canon at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance.
